1. SERVICE DESCRIPTION.
Select Spirits Imports Inc. offers integrated logistics solutions for emerging alcoholic beverage brands seeking storage and distribution services across the state of California. Includes:
- Product reception, storage, and handling.
- Order preparation for bars, liquor stores, and restaurants.
- Regional distribution by zones: Southern CA, Los Angeles, San Francisco Bay Area;
- Real-time inventory access through our WMS system. (One user).

TERMS & CONDITIONS
- Standard Case Definition: All services are based on a standard 9-liter case (12 bottles of 750ml or equivalent). Special formats or irregular packaging may be subject to additional handling fees.
- Minimum Volume Requirements: A minimum monthly volume of 40 active cases is required to maintain preferential pricing. Lower volumes may incur storage maintenance or service surcharges.
- Billing and Payment: All services are billed monthly. Payment is due within 30 calendar days from the invoice date.
- Clients who pay on time consistently are eligible for a 2% annual service discount.
- Clients who authorize electronic recurring payments will receive an additional 1.5% annual discount.
- Clients who do both may receive a total of 3.5% discount on services annually.
- Cancellation Policy: Contracts renew automatically unless terminated with at least 60 days written notice. Early cancellations may result in transition or reorganization charges.
- Limitation of Liability: Select Spirits Imports Inc. is not liable for delays, losses, or damages caused by third parties, force majeure, or regulatory non-compliance attributable to the client.
- Product Ownership and Risk: All stored products remain the property of the client. Risk transfers to the client upon receipt at our facilities unless loss is due to documented negligence.
- Rate Changes and Notifications: Changes in service rates, tiers, or policies will be notified at least 30 days in advance.
- Licensing and Regulatory Compliance: Clients are responsible for maintaining current permits and licenses (e.g., TTB, ABC, CDTFA). Select Spirits offers support services but is not a compliance guarantor unless specifically contracted.
- Distribution Services: Distribution rates apply only within the specified California delivery zones. Additional charges may apply for out-of-zone or special delivery requests. “Last mile” services must be agreed upon separately.
- Trailer and Pallet Receiving Fees: Charges for trailer unloading and pallet processing are governed by the “Additional Trailer Receiving Fees” section. Non-palletized or mixed-load shipments may incur extra costs.
- Confidentiality: Select Spirits Imports Inc. will keep all client data and commercial information strictly confidential.
- Jurisdiction and Dispute Resolution: This agreement shall be governed by the laws of the State of California. Disputes must first go through mandatory direct mediation. If unresolved within 15 days, disputes will be subject to the jurisdiction of the courts in San Diego County.
This proposal is subject to operational availability and may be adjusted based on client logistics profile. Not a formal obligation until signed contract.
